1. Introduction

Welcome to Klyqs. These Terms of Service ("Terms") govern your access to and use of the software products, applications, and services (collectively, "Services") provided by 92combo ("Klyqs," "we," "us," or "our"), a company registered in the Netherlands.

By purchasing, downloading, installing, or using any Klyqs software or Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

3. Description of Services

Klyqs develops and sells desktop software applications designed for creative professionals. Our software products include, but are not limited to:

  • Klyqs Story — AI-powered film and story creation software
  • Additional tools as released

Our software is sold as downloadable desktop applications. The software runs locally on your computer and may require connection to third-party AI service providers to function.

4. License Grant

4.1 License

Upon purchase, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the purchased software on devices you own or control
  • Use the software for personal and commercial projects
  • Retain and use the version you purchased indefinitely

4.2 Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the software
  • Reverse engineer, decompile, or disassemble the software
  • Remove or alter any proprietary notices or labels
  • Use the software to develop competing products
  • Share, sublicense, or transfer your license to another person or entity
  • Use the software in any way that violates applicable laws

4.3 Ownership

The software is licensed, not sold. Klyqs and its licensors retain all right, title, and interest in the software, including all intellectual property rights. Your purchase grants you a license to use the software, not ownership of the software itself.

5. Purchases and Payments

5.1 Pricing

All prices are listed on our website at the time of purchase. Prices are subject to change without notice, but changes will not affect orders already placed.

5.2 Payment

Payment is due at the time of purchase. We accept payment methods as displayed at checkout. All transactions are processed securely through our payment provider.

5.3 Taxes

Prices may or may not include applicable taxes depending on your location. You are responsible for any taxes, duties, or fees imposed by your jurisdiction.

5.4 Updates

Your purchase includes updates to the software for the period specified at purchase (typically one year). After this period:

  • You may continue using the version you have indefinitely
  • Access to new updates and features requires a renewal purchase
  • Renewal pricing will be displayed on our website

6. Refund Policy

We offer a 14-day money-back guarantee from the date of purchase. If you are not satisfied with the software, contact us at alanayoubi@92learns.com within 14 days of purchase to request a full refund.

Refunds may be denied if:

  • The request is made after 14 days from purchase
  • There is evidence of abuse or fraud
  • The software has been used extensively beyond evaluation purposes

7. Third-Party Services and API Keys

7.1 Third-Party AI Providers

Our software may require you to connect to third-party AI service providers (such as Fal.ai) using your own API keys. Your use of these third-party services is subject to their respective terms of service and privacy policies.

7.2 Your Responsibility

You are solely responsible for:

  • Creating and maintaining accounts with third-party providers
  • Securing your API keys and credentials
  • Any costs incurred through your use of third-party services
  • Compliance with third-party terms of service

7.3 No Liability for Third Parties

Klyqs is not responsible for:

  • The availability, performance, or pricing of third-party services
  • Any changes to third-party services or APIs
  • Content generated through third-party AI services
  • Any disputes between you and third-party providers

8. User Content and Generated Content

8.1 Your Content

You retain ownership of any content you create, input, or upload to the software ("User Content"). You are solely responsible for your User Content and ensuring it complies with applicable laws.

8.2 AI-Generated Content

Content generated using AI features is subject to:

  • The terms of the third-party AI provider you use
  • Applicable intellectual property laws in your jurisdiction
  • Your responsibility to verify usage rights

8.3 License to Klyqs

You grant Klyqs no rights to your User Content or generated content. Your work remains entirely yours. We do not access, store, or transmit your content — everything remains on your local machine.

9. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Create content depicting child sexual abuse or exploitation
  • Generate non-consensual intimate imagery of real people
  • Harass, threaten, or harm others
  • Spread misinformation or disinformation
  • Engage in any fraudulent activity
  • Interfere with or disrupt the software or third-party services

We reserve the right to terminate your license if you violate these terms.

10. Privacy and Data

10.1 Local Processing

Our software operates locally on your computer. We do not require user accounts, and we do not collect, store, or transmit your personal projects or content.

10.2 Data Collection

We may collect limited data as described in our Privacy Policy, including:

  • Purchase and transaction information
  • License verification data
  • Anonymous usage analytics (if enabled)

11.2 Feedback

If you provide suggestions, feedback, or ideas about our Services, you grant us the right to use this feedback without compensation or attribution.

12. Disclaimers

12.1 "As Is" Provision

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 No Guarantee

We do not guarantee that:

  • The software will meet your specific requirements
  • The software will be uninterrupted, secure, or error-free
  • Results obtained from the software will be accurate or reliable
  • Third-party services will remain available or compatible

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLYQS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

13.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13.3 Essential Purpose

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Klyqs, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content or generated content

15. Term and Termination

15.1 Term

These Terms are effective upon your purchase or use of the software and continue until terminated.

15.2 Termination by You

You may stop using the software at any time.

15.3 Termination by Us

We may terminate or suspend your license immediately if you breach these Terms. Upon termination, you must cease all use of the software and destroy any copies.

15.4 Survival

Sections regarding ownership, disclaimers, limitation of liability, indemnification, and governing law survive termination.

16. Changes to Terms

We may modify these Terms at any time. Changes will be posted on our website with an updated effective date. Your continued use of the software after changes constitutes acceptance of the modified Terms.

For material changes, we will make reasonable efforts to notify you via email or through our website.

17. Governing Law and Disputes

17.1 Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.

17.2 Jurisdiction

Any disputes arising from these Terms shall be resolved exclusively in the courts of Amsterdam, Netherlands.

If you are a consumer in the European Union, you retain any mandatory consumer protection rights under the laws of your country of residence.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Klyqs regarding the Services.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

18.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

18.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights without restriction.

18.5 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
